1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Zephony Software Pvt Ltd ("Zephony," "Company," "we," "us," or "our") concerning your access to and use of the Numeric platform.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access the service.

• "Service" or "Numeric" refers to the Numeric platform, including all features, functionalities, and content.
• "User," "you," or "your" refers to the individual or entity using our Service.
• "Account" refers to the unique account created for you to access our Service.

7. Payment and Billing

7.1 Fees

7.2 Subscriptions

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring basis according to your chosen subscription plan. Subscriptions automatically renew unless cancelled before the renewal date.

7.3 No Refunds

All payments made for Numeric services are final and non-refundable. We do not offer refunds under any circumstances. Please refer to our Return Policy for complete details. We offer a free tier with limited features that allows you to evaluate the service before upgrading to a paid plan.

8. Service Availability

8.1 Uptime

While we strive to provide continuous availability, we do not guarantee that the Service will be available at all times. The Service may be unavailable during maintenance, updates, or due to factors beyond our control.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

9. Termination

9.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature in the Service.

9.2 By Us

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your User Data following termination, subject to applicable law and our data retention policies.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZEPHONY SOFTWARE PVT LTD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Zephony Software Pvt Ltd and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Data

13. Dispute Resolution

13.1 Informal Resolution

If a dispute arises, you agree to contact us first to attempt to resolve it informally. We will do our best to resolve the dispute in good faith.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Numeric is registered, without regard to its conflict of law provisions.

13.3 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.

14. General Provisions

14.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
